LEGAL
Terms & Conditions
These are Broadacre Productions’ standard terms for film, television, commercial content and aerial production work. A quotation or written project agreement may add to or change these terms for a particular job.
1. Who we are
Broadacre Productions is the trading name of George Richardson, a sole trader based in England. In these terms, “Broadacre”, “we”, “us” and “our” mean George Richardson trading as Broadacre Productions. “Client”, “you” and “your” mean the person or organisation booking the work.

2. When a contract is formed
A contract is formed when you accept our quotation or project proposal in writing, confirm a booking by email, sign a project agreement, or pay a booking fee or deposit. The contract is made up of the quotation or project agreement, these terms and any later changes agreed in writing.
If there is a conflict, a signed project agreement takes priority, followed by the quotation, then these terms.
3. Quotations and scope
Our quotation will describe the agreed services, deliverables, production dates, assumptions and fees. Unless the quotation says otherwise, it is valid for 30 days and does not reserve dates until the booking is confirmed.
Work outside the agreed scope is an additional service. We will explain any likely extra cost and seek written approval before carrying it out, unless immediate action is reasonably needed to protect people, equipment or the production.
4. Fees, expenses and third-party costs
Fees and payment stages will be set out in the quotation. The quotation will state whether VAT applies. Reasonable travel, accommodation, subsistence, couriers, permits, location fees, music, archive, stock material, specialist crew, equipment hire and other third-party costs are chargeable where listed in the quotation or approved by you.
If a supplier changes its price after the quotation, we will tell you promptly and obtain approval before committing to a material increase wherever reasonably possible.
5. Invoices and payment
Invoices are payable by the date stated on the invoice. Where no date is stated, payment is due within 30 calendar days. You must raise any genuine invoice query promptly and pay any undisputed amount on time.
For business clients, we may charge statutory interest and recovery costs on overdue sums where the law allows. We may pause work or withhold final deliverables while an undisputed invoice remains overdue, after giving reasonable notice.
6. Your responsibilities
You agree to provide, in good time:
- clear instructions, brand guidance and accurate information;
- reasonable access to locations, people and facilities;
- timely feedback, decisions and approvals;
- any permissions, releases or licences allocated to you in the quotation; and
- a safe working environment and notice of relevant hazards or site rules.
You are responsible for ensuring that materials you supply, and instructions you ask us to follow, can lawfully be used. This includes logos, footage, music, photographs, claims, scripts and personal data.
7. Contributors, locations and editorial matters
The quotation will say who is responsible for contributor consent, location permission and editorial or legal clearance. Unless we expressly take on that responsibility, you must obtain and retain the necessary permissions.
Factual production depends on people, access and events that may change. We will use reasonable professional judgement, but cannot guarantee that a contributor, location, event, interview or particular shot will remain available.
8. Filming, safety and production changes
We may alter or stop work where continuing would be unsafe, unlawful, technically impracticable or likely to cause serious damage. This includes severe weather, unsafe locations, unacceptable conduct, equipment failure, loss of access and instructions that conflict with legal or regulatory duties.
Where possible, we will discuss alternatives with you. Any change to cost or timing will be handled fairly, taking account of work completed, unavoidable commitments and costs saved.
9. Drone operations
All aerial work is subject to weather, airspace restrictions, aviation law, permissions, site conditions, safety assessments and the remote pilot’s final operational judgement. A requested flight may be delayed, adapted or cancelled if it cannot be carried out safely or lawfully.
Where a flight cannot proceed, we will try to agree a practical alternative or replacement date. Fees already committed to permits, travel, crew, equipment or other non-recoverable costs may still be payable.
10. Cancellations and postponements
Tell us as soon as possible if you need to cancel or postpone. Unless the quotation contains an agreed cancellation schedule, you will pay for work already completed, non-refundable third-party commitments and reasonable losses caused by the cancellation, less any costs we save or income we reasonably recover by rebooking the dates.
Postponed dates are subject to availability. We will make reasonable efforts to accommodate a replacement date and avoid unnecessary cost.
If you are a consumer
A consumer is an individual booking mainly for purposes outside their trade or profession. If you book at a distance or away from our business premises, you may have a legal right to cancel within 14 days. If you ask us to begin work during that period and then cancel, you may have to pay a fair amount for work already supplied. Your cancellation right may end once the service has been fully performed, where the legal requirements for that to happen have been met.
11. Editing, feedback and revisions
The quotation will state what editing, review stages and revisions are included. Feedback should be clear, consolidated and supplied by one authorised contact. Additional rounds, conflicting feedback, changes to an approved direction or new material supplied late may be charged as extra work.
We may correct minor technical or factual errors reported within 14 days of delivery where they fall within the agreed scope. A project is treated as accepted when you approve it in writing, publish or use it, or do not raise a material issue within 14 days of delivery.
12. Delivery, storage and project files
We will deliver in the format and by the method agreed. Delivery dates are genuine estimates unless the quotation expressly states that a date is fixed. We are not responsible for delays caused by late client input, third parties or events beyond our reasonable control.
Rushes, raw files, project files, editable timelines and unused material are not included unless the quotation says they are. We may delete working files after six months from final delivery, so you should download and safely store all supplied deliverables.
13. Copyright and usage rights
Unless agreed otherwise in writing, we retain copyright in material we create. Once all relevant invoices are paid, you receive a non-exclusive licence to use the final agreed deliverables for the purposes, media, territories and period set out in the quotation. Where the quotation does not limit those matters, the licence covers the client’s normal business, promotional and editorial use worldwide.
The licence does not include reselling the work as stock, supplying it to another organisation for unrelated use, materially re-editing it in a misleading way, or using third-party material beyond its own licence. Any transfer of copyright must be expressly agreed in writing.
14. Music, archive and other third-party material
Music, archive footage, fonts, graphics, stock assets and other third-party material remain subject to their own licences. We will explain material usage limits we know about, but you must not use those assets outside the agreed project or licence.
15. Portfolio and publicity
Unless confidentiality, broadcaster restrictions or a written agreement prevents it, we may identify the project and display reasonable extracts or stills in our portfolio, showreel, awards entries and business promotion after the work has been made public. Tell us before booking if the project must remain confidential or uncredited.
16. Confidentiality and data protection
Each party will take reasonable care of confidential information received from the other and will use it only for the project, except where disclosure is required by law or the information is already public through no breach of confidence.
Each party is responsible for complying with applicable data protection law for the personal data it controls. We will use client and contributor information only as reasonably needed to manage the enquiry, deliver the project, keep business records and meet legal obligations.
17. Our standard of service
We will provide the services with reasonable care and skill. Creative and factual work involves judgement, so differences of taste are not by themselves evidence that the service is defective. Nothing in these terms reduces any legal rights that cannot lawfully be excluded.
18. Liability
Neither party excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that the law does not allow to be excluded.
For business clients, we are not liable for indirect or consequential loss, loss of profit, loss of business, loss of opportunity or loss of anticipated savings. Subject to the previous paragraph, our total liability arising from a project will not exceed the total fees paid or payable for that project, unless a different cap is stated in the quotation or project agreement.
These business-client limitations do not apply to consumers where they would be unlawful or unfair. Consumers retain their statutory remedies for services not supplied with reasonable care and skill.
19. Events outside either party’s control
Neither party is responsible for delay or failure caused by an event it could not reasonably control, including severe weather, transport disruption, illness, industrial action, power or network failure, government restrictions, civil emergency or loss of essential access. The affected party must communicate promptly and take reasonable steps to reduce the impact.
If the event continues for more than 30 days and materially prevents the project, either party may end the affected work by written notice. You will pay for work completed and unavoidable commitments up to that point.
20. Complaints
If something is wrong, please email us promptly with a clear description of the issue and the outcome you are seeking. We will acknowledge the complaint and aim to respond substantively within 10 working days. Both parties should try in good faith to resolve a dispute before starting court proceedings.
21. General terms
Neither party may transfer the contract without the other’s written agreement, except that we may use suitably qualified crew and suppliers while remaining responsible for the services we have agreed to provide. A delay in enforcing a right does not waive it. If one provision is found unenforceable, the remaining provisions continue to apply.
22. Governing law
These terms and any dispute are governed by the law of England and Wales. The courts of England and Wales will have jurisdiction. If you are a consumer living elsewhere in the UK, you may also have the right to bring proceedings in the part of the UK where you live.
Before publishing: check that the payment period, file-storage period, portfolio permission and liability cap match the way you actually work. These terms are a practical starting draft, not a substitute for advice from a solicitor who has reviewed your insurance, quotations and client mix.
